1. Acceptance of Terms

Welcome to Buzzaboo. By accessing or using our live streaming platform, website, mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legally binding agreement between you and Buzzaboo, Inc. ("Buzzaboo," "we," "us," or "our"). We reserve the right to modify these Terms at any time. Your continued use of the Service following any changes indicates your acceptance of the new Terms.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you represent that your legal guardian has reviewed and agrees to these Terms.

By using the Service, you represent and warrant that:

  • You have the legal capacity to enter into these Terms
  • You will comply with these Terms and all applicable local, state, national, and international laws
  • You have not been previously suspended or removed from the Service

3. Account Registration and Security

3.1 Account Creation: To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.3 Account Termination: We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.

4. User Content

4.1 Your Content: You retain all ownership rights to content you create, upload, stream, or share on the Service ("User Content"). By submitting User Content, you grant Buzzaboo a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.

4.2 Content Standards: You agree that your User Content will not:

  • Violate any third-party rights, including copyright, trademark, privacy, or other personal or proprietary rights
  • Contain hate speech, harassment, threats, or incitement to violence
  • Contain sexually explicit or pornographic material
  • Depict or promote illegal activities
  • Contain malware, viruses, or other harmful code
  • Impersonate any person or entity
  • Constitute spam or unauthorized advertising

4.3 Content Removal: We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable, in our sole discretion.

5. Streaming and Broadcasting

5.1 Streamer Responsibilities: If you stream content on the Service, you are responsible for ensuring that your streams comply with these Terms, our Community Guidelines, and all applicable laws.

5.2 Prohibited Content: Streamers may not broadcast content that includes:

  • Copyrighted material without proper authorization
  • Extreme violence or gore
  • Sexual content or nudity (except in educational or artistic contexts, subject to our guidelines)
  • Dangerous or harmful activities
  • Harassment or bullying of other users

5.3 Content Archival: We may archive your streams for a limited period. You understand that we may delete archived content at any time without notice.

6. Monetization and Payments

6.1 Revenue Sharing: Eligible streamers may participate in our revenue sharing program. Eligibility requirements, payment terms, and revenue splits are subject to separate agreements and may change at our discretion.

6.2 Subscriptions and Tips: Users may support streamers through subscriptions, tips, or other monetary contributions. All payments are processed through third-party payment processors and are subject to their terms and conditions.

6.3 Taxes: You are responsible for all taxes associated with your use of the Service, including income taxes on any revenue earned through the Service.

7. Intellectual Property

7.1 Buzzaboo IP: The Service, including its design, functionality, and all content provided by Buzzaboo (excluding User Content), is owned by Buzzaboo and is protected by copyright, trademark, and other intellectual property laws.

7.2 Trademarks: "Buzzaboo," the Buzzaboo logo, and other Buzzaboo trademarks may not be used without our prior written permission.

7.3 Copyright Infringement: We respect intellectual property rights. If you believe that your copyrighted work has been infringed, please see our DMCA Policy.

8. Prohibited Conduct

In addition to the content restrictions above, you agree not to:

  • Use automated systems (bots, scripts, scrapers) to access the Service
  • Attempt to gain unauthorized access to any portion of the Service
  • Interfere with or disrupt the Service or servers
  • Circumvent any access or use restrictions
  • Collect personal information about other users
  • Use the Service for any illegal purpose
  • Manipulate view counts, follower counts, or other metrics
  • Engage in any form of fraud or deceptive practices

9. Third-Party Services

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of third-party websites. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected. You use the Service at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUZZABOO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

IN NO EVENT SHALL BUZZABOO'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO BUZZABOO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Buzzaboo and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

13. Dispute Resolution and Arbitration

13.1 Informal Resolution: Before filing a claim, you agree to contact us to attempt to resolve the dispute informally by sending a written notice to legal@buzzaboo.tv.

13.2 Arbitration Agreement: Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Francisco, California.

13.3 Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Buzzaboo individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13.4 Exceptions: Either party may seek equitable relief in court for infringement or misuse of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in San Francisco County, California.

15. Miscellaneous

15.1 Entire Agreement: These Terms, along with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Buzzaboo.

15.2 Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

15.4 Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms at any time without notice.
